1. About These Terms
1.1 The Agreement

- Authorized to bind your organization to these Terms if using Duetiful on behalf of a firm or company

By using Duetiful, you also agree to these documents.
1.5 Changes to These Terms
We may update these Terms at any time. We'll notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use after changes take effect means you accept the updated Terms.
Exception: If you've paid for an annual subscription, price increases won't apply until your current annual period ends.
1.6 Enterprise & Negotiated Agreements
These Terms are our standard agreement offered to all customers. However, we understand that some organisations—particularly larger enterprises or those with specific compliance requirements—may prefer to negotiate customised terms.
If you would prefer to enter into a separately negotiated agreement:
- Please contact us at legal@duetiful.com before creating an account
- Our team will work with you to discuss your specific requirements
- Please note that negotiated agreements may require minimum subscription commitments and may delay when you can start using the platform
- A signed agreement must be in place before service access is granted under custom terms
By proceeding to create an account and use the Service under these standard Terms, you acknowledge that:
- You had the opportunity to request a negotiated agreement
- You chose to accept these standard Terms for faster access to the Service
- These Terms represent a fair balance of rights and responsibilities for both parties
2. What Duetiful Does (and Doesn't Do)
2.1 The Service
Duetiful is a deadline management tool designed for professional service firms (legal, accounting, compliance, consulting). It helps you:
- Track important deadlines and reminders
- Set up multi-channel notifications (email and calendar)
- Assign Backstop Advisers to monitor deadlines as backup
- Manage team workload and capacity
- View deadline analytics and reports
2.2 What We DON'T Guarantee
IMPORTANT - PLEASE READ CAREFULLY:
Duetiful is a tool to help you manage deadlines. It is NOT:
- ❌ A substitute for your professional judgment or responsibility
- ❌ A guarantee that you won't miss deadlines
- ❌ Professional advice (legal, accounting, compliance, or otherwise)
- ❌ A fail-safe system - technical issues may occur
- ❌ Infallible - bugs, downtime, and errors can happen
YOU are responsible for:
- ✅ Entering accurate deadline information using your professional knowledge
- ✅ Checking reminders and taking action on them
- ✅ Meeting your professional obligations and deadlines
- ✅ Having backup systems and processes
- ✅ Monitoring that the Service is working correctly
- ✅ Verifying critical deadlines through other means
The Backstop Adviser feature assists your team but does NOT replace individual responsibility. Both the primary assignee and Backstop Adviser remain professionally responsible for meeting deadlines.
System Health Transparency: Duetiful provides a real-time system health indicator that shows whether automated deadline monitoring is operational. If processing is delayed, catch-up mechanisms ensure no deadline triggers are permanently missed. You can view system status at any time via the health indicator in the navigation bar.
2.3 No Warranties - Beta Service
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- That the Service will be uninterrupted, timely, secure, or error-free
- That reminders will always be delivered on time (or at all)
- That data will never be lost or corrupted
- That the Service will meet your specific requirements
- That the Beta Service is production-ready or bug-free
As a Beta Service:
- The Service may have more bugs than a production release
- Features may change without notice
- Downtime may occur more frequently during development
- Data loss, while unlikely, is possible
Dependency on Third Parties:
Duetiful depends on:
- Supabase (database hosting - Australia)
- Resend (email delivery)
- Google/Microsoft (calendar integration)
- Lemon Squeezy (payment processing)
- Lovable.dev (development platform)
- Internet connectivity
We are not responsible for failures or outages of these third-party services.
Australian Consumer Law: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law (ACL) that cannot be excluded, restricted, or modified by agreement.
3. Your Account
3.1 Account Creation
To use Duetiful, you must create an account with:
- Valid email address you check regularly
- Secure password meeting our requirements (minimum 8 characters)
- Accurate organization information (if applicable)
3.2 Account Security
You are responsible for:
- Keeping your login credentials confidential
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access (support@duetiful.com)
- Using a strong, unique password
- Enabling multi-factor authentication (strongly recommended)
DO NOT share your account credentials with anyone, even within your organization. Each user must have their own account.
If your account is compromised: We may suspend it immediately to prevent further damage. You remain responsible for all actions taken using your account before you notified us of the compromise.
3.3 Account Information Accuracy
You must provide:
- Accurate and complete information during registration
- A valid email address that you actively monitor
- Updates when your information changes (especially email address)
We may suspend or terminate accounts with false, outdated, or incomplete information.
3.4 Organization Accounts
If you create an organization account:
- You represent that you're authorized to bind that organization to these Terms
- The organization is the legal entity entering into this agreement
- The organization is responsible for all users under that account
- You're responsible for managing user access, permissions, and compliance
- You authorize organization administrators to see all data within the account (see Section 3.5)
3.5 Data Visibility Within Organizations
IMPORTANT: Understand how data is shared within your organization.
Team Members & Backstop Advisers:
- When you assign a Backstop Adviser to a reminder, that person can see full reminder details:
- Reminder title and description
- Due date and deadlines
- Matter/client information (if included)
- All notes and comments
- Assignment history
- Backstop Advisers receive email notifications about assigned reminders
Organization Administrators & Team Leaders:
- Can view all reminders and data within the organization, including:
- All users' reminders and deadlines
- Individual user activity and completion rates
- Team performance metrics
- Private notes added to reminders
- Full audit logs of all actions
- This is necessary for team management and oversight
By using Duetiful and assigning Backstop Advisers or joining an organization account, you authorize this internal data sharing.
If you need certain information to remain private, do not include it in Duetiful or create a separate individual account.
4. Payment & Subscriptions
4.1 Payment Processing by Lemon Squeezy
Payments are processed by Lemon Squeezy, our Merchant of Record.
What this means:
- Lemon Squeezy handles all payment processing, billing, and tax compliance
- Your credit card statement will show "LEMSQZY*Duetiful"
- We do NOT store your payment information - Lemon Squeezy handles this
- By subscribing, you also agree to Lemon Squeezy's Terms of Service at https://www.lemonsqueezy.com/terms
- Lemon Squeezy's privacy policy applies to your payment data: https://www.lemonsqueezy.com/privacy
Your relationship:
- You contract with us (Duetiful) for the Service
- Lemon Squeezy acts as our agent for payment processing only
- All support requests and Service questions should be directed to us at support@duetiful.com
4.2 Pricing
Current pricing is displayed at https://duetiful.app/pricing and may change at any time.
Pricing Tiers (Subject to Change):
- Solo: For 1 user
- Team: For up to 5 users
- Professional: For up to 15 users
- Enterprise: Custom pricing for 15+ users
All prices are in Australian Dollars (AUD) and include GST where applicable.
Price Changes:
- We'll give you at least 30 days' notice of price increases
- Changes take effect at your next billing cycle
- You can cancel before the increase takes effect if you don't agree
- Exception: Annual subscribers are locked in for their current annual period - price changes apply only when you renew
4.3 Billing Cycles
Monthly Subscriptions:
- Billed monthly in advance on the same day each month
- Automatically renews unless you cancel
- Cancel anytime - cancellation takes effect at end of current billing period
Annual Subscriptions:
- Billed annually in advance
- Typically offered at a discount (e.g., 20% off monthly price)
- Automatically renews unless you cancel
- Cancel anytime - cancellation takes effect at end of current annual period
Billing Date: Your billing cycle starts on the date of your initial subscription and repeats monthly or annually.
Automatic Renewal: All subscriptions automatically renew until you cancel. You authorize us (via Lemon Squeezy) to charge your payment method on each billing date.
4.4 Failed Payments
If payment fails:
- Immediate retry: Lemon Squeezy will attempt to charge again within 24 hours
- Email notification: We'll notify you that payment failed
- Grace period: You have 7 days to update payment information
- Account suspension: After 7 days of non-payment, we may suspend your account (you can't access reminders)
- Account termination: After 30 days of non-payment, we may terminate your account
You remain responsible for unpaid fees even if your account is suspended or terminated.
To update payment information:
- Log in to your account
- Go to Billing Settings
- Update your payment method through Lemon Squeezy's secure portal
4.5 Refund Policy
Money-Back Guarantee (New Customers Only):
- First-time subscribers can request a full refund within 60 days of initial purchase
- No questions asked - we want you to be happy
- Contact support@duetiful.com with "Refund Request" in subject line
- Refunds processed within 10 business days via original payment method
- One-time offer per customer (cannot resubscribe and refund again)
After 60 Days:
- Subscriptions are non-refundable for partial months/years unused
- If you cancel, you can continue using the Service until the end of your current billing period
- No prorated refunds for early cancellation
Australian Consumer Law Rights: Your rights under the Australian Consumer Law are not affected by this policy. If the Service has a major failure that cannot be fixed, you may be entitled to a refund regardless of the 60-day period. See Section 4.8 below.
Refund Process:
- Email support@duetiful.com with:
- "Refund Request" in subject line
- Your account email address
- Brief reason (optional, helps us improve)
- We'll process within 3-5 business days
- Refund appears on your statement within 10 business days
- Your account will be cancelled upon refund
4.6 Taxes
GST (Goods and Services Tax):
- All prices include Australian GST where applicable
- If you're an Australian business, GST will be charged
- If you're outside Australia, local taxes may apply
International Taxes:
- Lemon Squeezy handles tax compliance in 135+ countries
- Value Added Tax (VAT), sales tax, and other taxes are calculated automatically
- You're responsible for any taxes applicable in your jurisdiction
- Tax rates and requirements may change
Tax Invoices:
- Available in your Lemon Squeezy account portal
- Emailed automatically after each payment
- Contact support@duetiful.com if you need historical invoices
4.7 Free Trials (If Offered)
If we offer a free trial:
- Trial period is specified at signup (e.g., 14 days)
- Payment information is required at signup to ensure platform security and seamless transition if you continue
- You will not be charged during the trial period
- Full access to specified features during trial
- Trial automatically converts to paid subscription unless you cancel
- You'll receive email reminder before trial ends
- Cancel anytime during trial - no charges, no questions asked
4.8 Australian Consumer Law - Your Rights
You have rights under the Australian Consumer Law that cannot be excluded:
If the Service has a major failure (e.g., doesn't work, is significantly different from description, or unfit for purpose):
- You can choose to cancel the Service and get a refund, or
- Keep the Service and be compensated for the reduced value
If the failure is not major, we must fix the problem within a reasonable time. If we don't, you can:
- Cancel the Service and get a refund for unused portion, or
- Arrange for someone else to fix the problem and recover reasonable costs from us
These rights apply in addition to any warranties or guarantees we provide.

- State what remedy you're seeking
- We'll respond within 5 business days
5. Your Data
5.1 What Data You Provide
You control and are responsible for all data you upload to Duetiful, including:
- Reminder information (titles, dates, descriptions)
- Matter/client names and references (if provided)
- User names and email addresses
- Team assignments and Backstop Advisers
- Notes, comments, and custom fields
- Any attachments or files (if feature available)
5.2 Data Ownership
You own your data. We don't claim any ownership rights to the content you submit to the Service.
However, you grant us a limited, non-exclusive, worldwide license to:
- Store, process, and transmit your data to provide the Service
- Display it to you and your authorized team members
- Back it up for service reliability and disaster recovery
Data Ownership by Role:
- Organisation/Firm Data: Belongs to the organisation account holder. This includes all reminders, client data, team data, and configurations created within the organisation account.
- Adviser Personal Activity Data: Individual activity logs (login times, actions taken) belong to the individual user but are visible to organisation administrators for oversight purposes.
Export Scope: Non-admin users may have restricted export scope. Full organisation data export is available only to administrators.
5.3 Data Storage
Your data is stored in Australia (Supabase Sydney region).
- Industry-standard encryption (at rest and in transit)
- Regular automated backups
- Access controls and audit logging
5.4 Data Access
We will only access your data when:
- Necessary to provide the Service
- You request support
- Required by law or legal process
- Necessary to prevent fraud or abuse
5.5 Data Backups
We maintain automated backups through Supabase for disaster recovery.
- Backups are for service-level recovery, not individual data recovery
- We cannot guarantee recovery of individual records from backups
- Your responsibility: Export your data regularly (we recommend weekly) as your own backup
5.6 Data Export & Portability
You can export your data at any time:
- Admin users: Full organisation data export (all reminders, users, activity)
- Non-admin users: Restricted export (only your own reminders and activity)
- Export formats: CSV and/or JSON
- Go to Settings → Data Export to download
5.7 Data Deletion
When you delete your account:
- 60-day grace period: Data remains accessible for export
- After 60 days: All data is permanently deleted
- Cannot be recovered after permanent deletion
Exceptions to deletion (data we may retain):
- Legal/Regulatory Compliance: We may retain certain data for up to 7 years if required by law
- Security/Fraud Prevention: Limited data retained for up to 2 years
- Already Anonymized Data: Aggregated, anonymized statistics may be retained indefinitely
5.8 No Sensitive Information
DO NOT upload the following to Duetiful:
- ❌ Health or medical records
- ❌ Criminal records or background check results
- ❌ Financial account numbers (bank accounts, credit cards)
- ❌ Tax File Numbers or Social Security Numbers
- ❌ Passwords or authentication credentials
- ❌ Biometric data
- ❌ Any data classified as "sensitive information" under the Privacy Act 1988
If you upload sensitive information: You do so at your own risk. We are not liable for any breach or exposure of data you shouldn't have uploaded.
6. Privacy
6.1 Privacy Policy
Your privacy is important to us. Our handling of personal information is governed by:
- Australian Privacy Act 1988 (including Australian Privacy Principles)
- GDPR (for EU/UK users)
- CCPA (for California users)
- Our Privacy Policy
6.2 Your Privacy Rights
You have the right to:
- Access: Request a copy of your personal information
- Correction: Request correction of inaccurate data
- Deletion: Request deletion of your personal information
- Export: Download your data in a portable format
- Complain: Lodge a complaint with the Office of the Australian Information Commissioner (OAIC)
6.3 Cookies
We use cookies as described in our Cookie Policy.
Cookie categories:
- Necessary: Required for the Service to function (cannot be disabled)
- Functional: Remember your preferences and settings
- Analytics: Help us understand how you use the Service
You can manage cookie preferences through your browser settings.
6.4 Third-Party Services
We use the following third-party services that may process your data:
- Supabase: Database hosting (Sydney, Australia)
- Lemon Squeezy: Payment processing (Merchant of Record)

- Google Analytics: Website usage analytics

7. Acceptable Use
7.1 General Rules
You agree to use Duetiful only for lawful purposes and in accordance with these Terms.
7.2 Prohibited Activities
You must NOT:
Account Misuse:
- Create multiple accounts for the same person
- Provide false or misleading information
- Use another person's account
- Create accounts for users under 18
- Share login credentials
Technical Interference:
- Hack, reverse engineer, or decompile the Service
- Introduce viruses, malware, or harmful code
- Overload servers or infrastructure
- Bypass rate limits or security measures
- Attempt to gain unauthorized access
Misuse of Service:
- Use for illegal purposes
- Upload harmful, defamatory, or illegal content
- Violate others' intellectual property rights
- Use for spam or unsolicited communications
Resale:
- Resell, redistribute, or sublicense the Service
- Operate a service bureau or time-sharing arrangement
Competitive Use:
- Use the Service to build a competitive product
- Benchmark the Service for competitive analysis
- Copy features, designs, or functionality
7.3 Consequences of Violation
If you violate these rules, we may:
- Warn you
- Suspend your account (temporarily)
- Terminate your account (permanently)
- Delete your data
- Ban you from future accounts
- Report to law enforcement (if applicable)
- Pursue legal remedies
8. Intellectual Property
8.1 Our Intellectual Property
Duetiful and all related intellectual property belong to us:
- The Service (software, code, architecture)
- Design, logos, and branding
- Documentation and help content
- Algorithms, formulas, and underlying technology
- All improvements and modifications
What you CANNOT do:
- Copy, modify, or distribute the Service
- Remove copyright notices or branding
- Use our trademarks without permission
8.2 Your Content
You retain ownership of all content you upload. See Section 5.2 for details on our limited license to your data.
8.3 Templates, Rules & Configurations
Templates and configurations we provide: Belong to us. You can use them within the Service.
Templates and configurations you create: Belong to you.
Shared Learning: We may use anonymized, aggregated patterns from how customers configure deadlines to improve the Service for everyone. This never includes your actual data, client names, or identifiable information.
8.4 Feedback
If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and implement them without obligation to you.
8.5 Trademarks
"Duetiful" and our logos are trademarks. You may:
- Refer to Duetiful by name in a factual manner
- Link to our website
You may NOT:
- Use our name or logo to imply endorsement
- Register similar trademarks
- Use our branding in your marketing without written consent
8.6 DMCA & Copyright Complaints
If you believe content on Duetiful infringes your copyright:
- Contact: legal@duetiful.com
- Subject: "Copyright Complaint"
- Include:
- Description of the copyrighted work
- Location of the infringing content
- Your contact information
- Statement of good faith belief
- Statement of accuracy under penalty of perjury
- Your physical or electronic signature
9. Service Availability & Reliability
9.1 Uptime
Best Effort: We aim for high availability but do NOT guarantee any specific uptime percentage.
No SLA: During the Beta period, there is no formal Service Level Agreement.
9.2 Maintenance
We may take the Service offline for maintenance:
During maintenance:
- You may not be able to access reminders
- Scheduled emails may be delayed
- Calendar syncs may be temporarily paused
We'll try to:
- Schedule maintenance during off-peak hours (Australian time)
- Notify you in advance when possible
- Keep maintenance windows as short as possible
We don't guarantee:
- Advance notice for emergency maintenance
- Specific maintenance windows
- That maintenance won't affect your deadlines
9.3 Email Delivery
Email reminders depend on multiple factors:
- ✅ We send from our servers (via Resend)
- ✅ We use proper email authentication (SPF, DKIM, DMARC)
- ❌ We cannot control your email provider's spam filtering
- ❌ We cannot guarantee delivery to every email provider
- ❌ We cannot guarantee delivery timing
If emails aren't arriving:
- Check your spam/junk folder
- Add @duetiful.com to your safe senders list
- Ask your IT department to whitelist our email domain
- Check your notification settings in Duetiful
- Contact support@duetiful.com for help
9.4 Calendar Integration
Calendar sync requires:
- Active OAuth tokens (you may need to re-authenticate periodically)
- Proper authentication with Google or Microsoft
- Calendar permissions granted to Duetiful
We are not responsible for calendar sync failures caused by expired tokens, revoked permissions, or third-party outages.
9.5 Third-Party Service Failures
We are not responsible for outages or failures of:
- Supabase: Database outages may prevent access to reminders
- Lemon Squeezy: Payment processing issues may affect billing
- Resend: Email delivery service outages may delay or prevent reminder emails
- Google/Microsoft: Calendar integration failures may affect deadline syncing
9.6 Data Integrity
We implement industry-standard measures to protect data integrity, but we cannot guarantee that data will never be lost or corrupted.
Your responsibility: Export your data regularly as backup.
10. Limitation of Liability
10.1 Professional Responsibility Reminder
THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS.
You are a professional. Whether you're a lawyer, accountant, compliance officer, or other professional, YOU are responsible for meeting your professional deadlines and obligations.
Duetiful is a tool to ASSIST you. It does not replace your professional responsibility, judgment, or obligation to meet deadlines.
10.2 What We're NOT Liable For
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:
- ❌ Missed deadlines (whether or not you used Duetiful to track them)
- ❌ Malpractice claims or professional discipline arising from missed deadlines
- ❌ Regulatory penalties, fines, or sanctions
- ❌ Lost clients or damaged professional reputation
- ❌ Loss of business, revenue, or profits
- ❌ Loss of goodwill or business opportunity
- ❌ Data loss or corruption
- ❌ Consequential, indirect, incidental, special, or punitive damages
This applies EVEN IF:
- The Service was unavailable, down, or had errors
- Reminders were not delivered or were delivered late
- We were aware the issue could cause these damages
- You notified us of the potential for damages
- The failure was due to our negligence
Examples of what we're NOT liable for:
- A lawyer misses a court filing deadline because emails weren't delivered → NOT our liability
- An accountant misses a tax deadline because the Service was down → NOT our liability
- A compliance officer faces regulatory penalties for missed deadline → NOT our liability
- A firm loses a client due to missed deadline tracked in Duetiful → NOT our liability
Your safeguards:
- Maintain backup deadline tracking systems
- Check the Service regularly (don't rely solely on reminders)
- Have professional processes independent of Duetiful
- Carry professional indemnity insurance
10.3 Maximum Liability Cap
IF WE ARE FOUND LIABLE FOR ANY REASON UNDER THESE TERMS:
Our total liability to you for all claims combined arising from your use of Duetiful is limited to the LESSER of:
- 12 months of subscription fees you actually paid to us in the 12 months before the claim, OR
- AUD $1,000
This cap applies regardless of:
- The legal theory (breach of contract, negligence, breach of warranty, misrepresentation, etc.)
- Whether the claim is brought individually or as part of a class action
- The number of claims you make
- How much damage you suffered
Examples:
- You paid $79/month for 6 months = $474 total → Maximum we'd owe: $474
- You paid $179/month for 12 months = $2,148 total → Maximum we'd owe: $1,000 (lesser amount)
- You suffered $50,000 in damages from missed deadline → Maximum we'd owe: $1,000 (or 12 months of fees if less)
10.4 Australian Consumer Law - What CAN'T Be Limited
Nothing in these Terms excludes, restricts, or modifies:
- Any consumer guarantee, right, or remedy under the Australian Consumer Law (ACL) that cannot lawfully be excluded
- Our liability for fraud or fraudulent misrepresentation
- Our liability for death or personal injury caused by our negligence
- Any other liability that cannot be limited under Australian law
However, to the extent permitted by ACL:
If we breach a consumer guarantee that cannot be excluded, our liability is limited to (at our option):
- Resupplying the Service, OR
- Paying the cost of having the Service resupplied, OR
- Refunding your subscription fees
This limitation applies to services that are not of a kind ordinarily acquired for personal, domestic, or household use (i.e., business services like Duetiful).
For services covered by consumer guarantees that we cannot limit: The limitations in Sections 10.2 and 10.3 do not apply.
10.5 Types of Damages Excluded
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:
Direct Damages:
- Loss of data or information
- Wasted time or resources
- Cost of substitute services
Indirect/Consequential Damages:
- Lost profits or revenue
- Loss of business or opportunities
- Loss of goodwill or reputation
- Loss of savings or benefits
- Costs of procurement of substitute services
- Any indirect, incidental, special, consequential, or punitive damages
This applies EVEN IF:
- We were advised of the possibility of such damages
- Such damages were foreseeable
- Our breach was negligent or willful
10.6 Backstop Adviser Feature - Shared Responsibility
CRITICAL CLARIFICATION:
The Backstop Adviser feature is designed to supplement (not replace) individual responsibility for deadlines.
Both the primary assignee AND the Backstop Adviser remain professionally responsible for meeting deadlines.
If both the primary assignee and Backstop Adviser miss a deadline:
- This is a team management issue within your organization
- Duetiful has NO liability
- You cannot claim "the Backstop Adviser should have caught it"
- Professional responsibility applies to both individuals
We are not responsible for:

The Backstop Adviser feature provides an additional layer of notification — it does NOT shift or eliminate professional responsibility.
10.7 Support Requests and Professional Collaboration
The "Request Support" feature enables advisers to invite their assigned Backstop Adviser to collaborate on a matter. This feature:
- Is entirely voluntary — no adviser is required to use it
- Creates no negative record or consequence for the requesting professional
- Normalizes professional collaboration and help-seeking
- Is logged in the audit trail for transparency, not for performance evaluation
Requesting support is a sign of professional strength and commitment to client outcomes.
10.8 Force Majeure
We are not liable for delays or failures in performance caused by events beyond our reasonable control, including:
- Natural disasters (fires, floods, earthquakes, storms)
- War, terrorism, civil unrest, or riots
- Government actions, laws, or regulations
- Labor disputes, strikes, or lockouts
- Pandemics, epidemics, or public health emergencies
- Internet or telecommunications failures
- Power outages or utility failures
- Failures of third-party services (Supabase, Resend, Lemon Squeezy, etc.)
- Cyberattacks, DDoS attacks, or hacking attempts
- Any other events beyond our reasonable control
During force majeure events:
- Our obligations under these Terms are suspended
- We'll resume performance when reasonably possible
- We'll communicate the situation to you
- No refunds or credits for force majeure downtime
11. Indemnification - You Protect Us
11.1 Your Indemnity Obligation
You agree to indemnify, defend, and hold harmless Duetiful, [INSERT KOREAN COMPANY NAME] 주식회사, and our directors, officers, employees, contractors, agents, and affiliates from and against any and all claims, demands, lawsuits, damages, losses, liabilities, costs and expenses (including reasonable legal fees and court costs).
Arising from or related to:
1. Your Use of the Service:
- Missed deadlines and consequences (malpractice claims, regulatory penalties, etc.)
- Professional discipline or sanctions
- Client claims or complaints
- Any harm resulting from relying on Duetiful
2. Your Violation of These Terms:
- Unauthorized use or account sharing
- Prohibited activities (Section 7.2)
- Breach of acceptable use policies
- Intellectual property violations
3. Your Data and Content:
- Accuracy of deadline information you input
- Infringement of others' intellectual property rights
- Privacy violations (uploading data you shouldn't have)
- Defamatory, harmful, or illegal content
- Breach of confidentiality obligations
4. Your Breach of Laws or Regulations:
- Professional conduct rules
- Privacy laws (Australian Privacy Act, GDPR, etc.)
- Consumer protection laws
- Industry regulations
- Any other applicable laws
5. Your Negligence or Willful Misconduct:
- Failing to check reminders
- Not maintaining backup systems
- Ignoring notifications or warnings
- Misusing the Service
11.2 What This Means
If someone sues us because of something you did (or didn't do) with Duetiful, you're responsible for:
- Defending us in that lawsuit (paying our legal fees)
- Covering any damages or settlements
- Reimbursing our costs
Example Scenario:
- Your client sues you for missing a tax deadline
- They also name Duetiful in the lawsuit
- You must defend us and cover our legal costs in that lawsuit
- Even if we're not ultimately found liable
Why this is fair:
- You're the professional responsible for deadlines
- You control what data you input
- You decide how to use the Service
- We can't be held responsible for your professional obligations
11.3 Defense & Settlement
If a claim is made:
- We'll notify you promptly of any claim we believe you must indemnify
- You'll take over defense (hire lawyers, manage the case)
- We may participate in the defense at our own expense
- You cannot settle without our written consent if settlement:
- Requires us to admit fault or liability
- Imposes obligations on us
- Affects our business or reputation
We reserve the right to assume exclusive defense at any time if we believe you're not adequately defending us.
11.4 Scope Limitation
This indemnity does NOT apply to:
- Our fraud or fraudulent misrepresentation
- Our gross negligence or willful misconduct
- Breaches of these Terms caused solely by us
- Matters where Australian law prohibits indemnification
12. Dispute Resolution
12.1 Good Faith Negotiations First
Before starting any formal dispute process, you agree to:
- Contact us at legal@duetiful.com describing the dispute
- Provide reasonable details about the issue and what you want
- Give us 30 days to try to resolve it informally through good faith discussions
- Engage in genuine negotiations (not just perfunctory compliance)
Most issues can be resolved through conversation. We're committed to addressing concerns promptly and fairly.
If informal negotiations succeed: Great! We'll document the resolution and both parties move on.
If informal negotiations fail after 30 days: You may proceed to mediation or arbitration (below).
12.2 Mediation (Optional but Encouraged)
If informal negotiations don't work, either party may refer the dispute to mediation:
Mediation Rules:
- Location: Sydney, New South Wales, Australia
- Mediator: Mutually agreed mediator, or if we can't agree within 7 days, appointed by the Australian Disputes Centre
- Process: According to Australian Disputes Centre Mediation Guidelines
- Timing: Mediation to occur within 30 days of referral (if both parties agree to mediate)
- Costs: Split equally between both parties (each party pays 50%)
Mediation is:
- ✅ Non-binding (facilitates negotiation but doesn't impose a solution)
- ✅ Confidential (cannot be used as evidence in later proceedings)
- ✅ Usually faster and cheaper than arbitration or court
- ❌ Not mandatory (either party can skip to arbitration)
We encourage mediation because it's often faster, cheaper, and preserves relationships better than adversarial proceedings.
12.3 Binding Arbitration (Mandatory for Most Disputes)
If mediation fails or a party refuses to mediate, disputes MUST be resolved by binding arbitration:

- Governing Rules: Resolution Institute Arbitration Rules (Australia)
- Location: Sydney, New South Wales, Australia
- Arbitrator: Single arbitrator mutually agreed by parties, or if we can't agree within 14 days, appointed by Resolution Institute
- Language: English
- Procedure: Documents-only or hearing (arbitrator decides)
- Decision: Final, binding, and enforceable on both parties
Arbitration Costs:
- Each party bears their own legal fees and costs
- Arbitrator fees and administrative costs split equally (50/50)
- Exception: Arbitrator may award costs to prevailing party based on conduct
Advantages of Arbitration:
- Faster than court (usually resolved in 3-6 months)
- More private (not public record)
- Arbitrator with expertise in commercial disputes
- Less formal than court proceedings
- Final decision (very limited grounds for appeal)
Arbitration Decision is FINAL:
- Can be enforced in any court
- Very limited grounds to challenge (fraud, corruption, or procedural unfairness only)
- No appeal on the merits
12.4 Exceptions to Arbitration (When You CAN Go to Court)
Either party may go directly to court for:
1. Injunctive Relief: Urgent orders to stop immediate harm, temporary restraining orders, preliminary injunctions.
2. Intellectual Property Disputes: Trademark infringement, copyright violations, trade secret theft.
3. Small Claims: Claims under AUD $10,000 in NSW Local Court.
12.5 No Class Actions or Consolidated Claims
YOU AGREE TO RESOLVE DISPUTES WITH US ONLY ON AN INDIVIDUAL BASIS.
You CANNOT:
- ❌ Join your claims with other users' claims
- ❌ Bring a class action lawsuit
- ❌ Participate in a class action against us
- ❌ Bring a representative action on behalf of others
- ❌ Consolidate your arbitration with other arbitrations
If the class action waiver is found invalid:
- The dispute will be decided by a court (not arbitration)
- All other provisions of these Terms remain in effect
Australian Consumer Law: Nothing in this section prevents you from participating in a representative proceeding under Australian consumer law if you have that right.
12.6 Governing Law & Jurisdiction
These Terms are governed by the laws of New South Wales, Australia.
If a matter goes to court (not arbitration), you agree to the exclusive jurisdiction of the courts of New South Wales, Australia.
Federal Law:
- Commonwealth (federal) Australian law also applies where relevant
- Including Australian Consumer Law, Privacy Act, etc.
International Law:
- For international users, NSW law still governs
- Your local laws may provide additional protections
- We'll comply with mandatory foreign laws where required
12.7 Time Limitation for Claims
You must bring any claim against us within ONE (1) YEAR of the date the claim arose, or it's permanently barred.
Examples:
- Service outage on January 1, 2025 → Must file claim by January 1, 2026
- Account terminated on March 15, 2025 → Must file claim by March 15, 2026
Exceptions:
- Claims that Australian law requires longer limitation periods
- Fraud claims (discovered later)
13. Term & Termination
13.1 Term of Agreement
These Terms start when you create an account and continue until terminated by either party.
Your subscription continues until you cancel it or we terminate it.
13.2 Termination by You (Cancellation)
You can cancel your subscription at any time:
How to Cancel:
- Log in to your account
- Go to Account Settings → Billing
- Click "Cancel Subscription"
- Confirm cancellation (we may ask for brief feedback)
OR
Email support@duetiful.com with "Cancel Subscription" in subject line.
What Happens After Cancellation:
- Effective date: End of your current billing period (not immediate)
- Access: You can keep using the Service until the end of your paid period
- Billing: No further charges after current period ends
- Refund: No refund for unused time (except within 60-day money-back period)
- Data: You have 60 days after cancellation to export your data (see Section 13.4)
Example:
- You pay monthly on the 15th
- You cancel on the 20th
- You can use the Service until the 15th of next month
- No charge on the 15th of next month
- 60-day grace period starts on the 15th of next month
13.3 Termination by Us
We may suspend or terminate your account immediately if:
1. Breach of Terms:
- You violate any provision of these Terms
- You engage in prohibited activities (Section 7.2)
- You abuse or misuse the Service
2. Non-Payment:
- Your payment fails and you don't update it within grace period (7 days)
- You have unpaid fees after account termination
3. Illegal Activity:
- You use the Service for illegal purposes
- We receive legal requirement to terminate
- Law enforcement requests termination
4. Fraud or Abuse:
- Fraudulent account information
- Suspected fraud or abuse
- Chargeback abuse
5. Service Discontinuation:
- We decide to discontinue the Service entirely (with 90 days' notice)
- We stop serving your region or market
- Force majeure makes continued service impossible
Notice:
- We'll provide notice when feasible (email to registered address)
- Immediate termination for serious violations (no notice)
- 90 days' notice for discontinuation of Service
No Refund for Violation-Based Termination:
If we terminate your account for breach of Terms, fraud, or abuse:
- No refund for unused subscription time
- You remain liable for unpaid fees
- We may pursue legal remedies
13.4 Effect of Termination
When your account is terminated (by either party):
Immediate Effects:
- Your access to the Service ends (unless you're in grace period after cancellation)
- Billing stops at the end of current period (if you cancelled) or immediately (if we terminated for breach)
- Your license to use Duetiful terminates
- You must stop accessing the Service
60-Day Grace Period (Cancellation Only):
If you cancelled (not terminated for breach):
- You can still log in (read-only access) to download your data
- Data remains accessible for export
- No new reminders can be created
- No reminders sent during this period
After 60 Days - Permanent Deletion:
- All your data is permanently deleted (see Section 5.7)
- Cannot be recovered or restored
- Account is fully closed
- Email address can be reused for new account in future
What Survives Termination:
These sections remain in effect after termination:
- Section 5: Your Data (regarding data you exported before termination)
- Section 8: Intellectual Property (our ownership rights)
- Section 10: Limitation of Liability (protects us from post-termination claims)
- Section 11: Indemnification (you still protect us from claims)
- Section 12: Dispute Resolution (governs how disputes are resolved)
- Section 13.4: This section (effect of termination)
Outstanding Obligations:
- You must pay any unpaid fees
- We must provide any refunds owed (60-day money-back period)
- Indemnification obligations continue
- Confidentiality obligations continue
13.5 No Liability for Termination
We are not liable for any losses or damages resulting from termination, including:
- Lost access to your data (if you didn't export it)
- Missed deadlines during or after termination
- Business disruption or lost revenue
- Cost of migrating to alternative service
- Any consequential or indirect damages
Your responsibility:
- Export your data before termination or during 60-day grace period
- Have backup systems in place
- Don't rely solely on Duetiful for critical deadlines
- Plan for service interruption
14. General Legal Terms
14.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Duetiful regarding the Service.
They supersede all prior agreements, understandings, or representations:
- Written or oral
- Marketing materials or sales pitches
- Pre-contractual statements
- Emails or conversations
Exception: If you have a separate written agreement signed by both parties (e.g., Enterprise custom agreement), that agreement controls.
14.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable:
- That provision is modified to the minimum extent necessary to make it valid and enforceable
- If it cannot be modified, it is removed from these Terms
- All other provisions remain in full force and effect
Examples:
- If a particular limitation is found excessive, it's reduced to maximum allowable
- If a clause violates Australian Consumer Law, it's removed but rest of Terms remain
- If arbitration clause is invalid, disputes go to court but Terms otherwise apply
14.3 Waiver
If we don't enforce a provision of these Terms, it doesn't mean we've waived our right to enforce it later.
No waiver of rights:
- Failure to enforce ≠ waiver
- Delay in enforcing ≠ waiver
- Single enforcement ≠ ongoing obligation to enforce
Examples:
- We don't terminate your account for one violation → doesn't mean we can't terminate for future violations
- We allow late payment once → doesn't mean we must always allow it
- We overlook a minor breach → doesn't waive future enforcement
To be effective, any waiver must be:
- In writing
- Signed by authorized representative
- Explicitly state what's being waived
All rights and remedies are cumulative:
- We can exercise multiple remedies simultaneously
- Exercising one remedy doesn't prevent exercising others
14.4 Assignment
You cannot transfer these Terms or your account to anyone else without our prior written consent.
Prohibited transfers:
- Assigning your rights to another person or company
- Delegating your obligations
- Transferring your subscription
- Selling your account
We can transfer these Terms to another entity without your consent, including:
- Corporate restructuring (merger, acquisition, reorganization)
- Sale of business or assets
- Change of ownership
- Spin-off or divestiture
14.5 Force Majeure
We are not liable for delays or failures in performance caused by events beyond our reasonable control (see Section 10.8 for detailed list).
If force majeure continues for more than 90 days:
- Either party may terminate these Terms
- No liability for termination
- Refund of prepaid unused subscription time (prorated)
14.6 Relationship of Parties
These Terms do not create any:
- Partnership, joint venture, or agency relationship
- Employment relationship (you're not our employee)
- Franchise relationship
- Fiduciary duty (except as required by law)
You and Duetiful are independent contractors.
14.7 Third-Party Rights
These Terms are between you and Duetiful only. No third party has any right to enforce any provision.
Exception: Our directors, officers, employees, and contractors can rely on:
- Limitation of liability provisions (Section 10)
- Indemnification provisions (Section 11)
- These protect them personally from claims
14.8 Notices
How we'll send you notices:
- Email: To the email address on your account
- In-App: Notification banner or popup in the Service
- Website: Posted on https://duetiful.app
When notices are deemed received:
- Email: 24 hours after sending (whether or not you read it)
- In-App: When you log in and see it
- Website: When posted (you're responsible for checking)

For major failures with the Service, you are entitled:
- To cancel your service contract with us; AND
- To a refund for the unused portion, or to compensation for its reduced value
You are also entitled to be compensated for any other reasonably foreseeable loss or damage.
If the failure does not amount to a major failure, you are entitled to have problems with the Service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion.
14.10 Interpretation

- Singular includes plural (and vice versa)
- "You" and "your" include your organization if you're using Duetiful for business

To help you understand these Terms, here are definitions of key terms:
"Account" means your individual or organization account on Duetiful, including all associated data and settings.
"Australian Consumer Law" or "ACL" means Schedule 2 of the Competition and Consumer Act 2010 (Cth), which provides consumer guarantees and protections.
"Backstop Adviser" means a secondary user assigned to monitor a reminder as backup to the primary assignee, who receives notifications and can see full reminder details.
"Beta Service" means the current development status of Duetiful, indicating the Service is under active development and may contain bugs or limitations.
"Business Day" means Monday through Friday, excluding public holidays in New South Wales, Australia.
"Data" or "Your Data" means all information you upload, create, or store in Duetiful, including reminders, notes, and user information.
"Deadline" or "Reminder" means any task, deadline, or obligation you create and track in Duetiful (terms used interchangeably).

17. Beta Service Specific Terms
17.1 Understanding Beta Status
Duetiful is currently in Beta, which means:
What Beta Means:
- The Service is functional but still under active development
- Features may change, be added, or removed without notice
- Bugs and errors may occur more frequently than in production software
- Performance may be inconsistent
- Downtime may occur for development, testing, or bug fixes
- We're gathering user feedback to improve the product
What Beta Does NOT Mean:
- The Service is unusable or unreliable
- We don't care about quality or security
- Your data is at risk (we still protect it with industry-standard security)
- You shouldn't use it for real work (many users successfully use Beta software)
17.2 Beta Limitations & Expectations
You acknowledge and accept that as a Beta service:
Technical Limitations:
- Features may be incomplete or not fully polished
- UI/UX may change based on user feedback
- Performance may not be optimized
- Integrations may have limitations
- Documentation may be incomplete
Support Limitations:
- Support is provided but may not be 24/7
- Some complex issues may take longer to resolve
- We're learning alongside our users
- Best-effort support rather than SLA guarantees
Changes During Beta:
- We may add, modify, or remove features with limited notice
- Pricing may change (with notice to existing customers)
- Terms may be updated more frequently
- We may reset or migrate data (with notice and export capability)
No Production Guarantees:
- No uptime SLA
- No performance guarantees
- No guaranteed backwards compatibility
- Features may be experimental
17.3 Feedback & Improvement
As a Beta user, you play a crucial role in improving Duetiful:
We ask that you:

- Provide feedback on features and usability
- Participate in user surveys (if invited)
- Be patient as we fix issues and improve
In return:
- We'll listen to your feedback

17.4 Transition from Beta to Production
When Duetiful transitions from Beta to production release:
We'll notify you via:

- Pricing (grandfathered users may receive discounted rates)
- Features (some Beta features may be removed or moved to higher tiers)
- Terms of Service (updated for production release)
- Support levels (may improve with production release)
- SLA commitments (may be introduced)
Your rights:
- You can continue using at Beta pricing (if we offer it)
- You can cancel if you don't like production terms
- You can export your data before deciding
- Existing subscriptions honored until renewal
We'll provide at least 60 days' notice before any material changes related to Beta-to-production transition.

- You're at least 18 years old
- You're legally able to enter into contracts
- You're using Duetiful for professional business purposes
- If for an organization, you're authorized to bind that organization
